Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Autonimate ("Company," "we," "us," or "our") concerning your access to and use of our website and services.
By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our services.
Description of Services
Autonimate provides managed IT services, custom software development, phone and VoIP systems, cloud solutions, cybersecurity services, and related technology consulting. Our services include but are not limited to:
- Managed IT Support and Helpdesk Services
- Custom Software and Application Development
- Business Phone and VoIP System Installation and Support
- Cloud Migration and Management
- Cybersecurity Assessments and Penetration Testing
- Compliance Consulting (ISO 27001, HIPAA, SOC 2, etc.)
- Network Infrastructure Design and Implementation
- AI and Automation Solutions
User Responsibilities
By using our services, you agree to:
- Provide accurate and complete information when requested
- Maintain the confidentiality of any account credentials
- Promptly notify us of any unauthorized use of your account
- Use our services in compliance with all applicable laws and regulations
- Not interfere with or disrupt the integrity of our services
- Not attempt to gain unauthorized access to any systems or networks
- Not use our services for any illegal or unauthorized purpose
Service Agreements and SLAs
Specific services may be governed by separate Service Level Agreements (SLAs) or statements of work that outline detailed terms, deliverables, timelines, and performance metrics. In the event of any conflict between these Terms and a specific service agreement, the service agreement shall prevail for the applicable service.
For managed IT services, our standard SLA provides uptime guarantees and response time commitments as detailed in your service contract.
Payment Terms
Payment terms are specified in your individual service agreement or invoice. Unless otherwise stated:
- Invoices are due within 30 days of the invoice date
- Late payments may incur interest charges as permitted by law
- We reserve the right to suspend services for accounts past due
- All fees are non-refundable unless otherwise specified
- Prices are subject to change with 30 days' written notice
Intellectual Property
Our website, services, and all related content, including but not limited to text, graphics, logos, icons, images, software, and documentation, are the property of Autonimate or its licensors and are protected by intellectual property laws.
For custom development projects, intellectual property rights are determined by the specific agreement for each project. Unless otherwise agreed in writing, you retain ownership of your business data, and we retain ownership of proprietary tools, frameworks, and methodologies used in providing services.
Confidentiality
We understand the sensitive nature of business information. Both parties agree to maintain the confidentiality of proprietary information exchanged during the course of our business relationship. This includes but is not limited to:
- Technical specifications and system configurations
- Business strategies and financial information
- Customer data and personal information
- Security assessments and vulnerability reports
- Proprietary software and source code
Confidentiality obligations survive the termination of services unless otherwise specified.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTONIMATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.
Disclaimers
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that our services will be uninterrupted, secure, or error-free, or that defects will be corrected. Specific service level commitments are outlined in individual service agreements.
Indemnification
You agree to indemnify, defend, and hold harmless Autonimate and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of our services
- Your violation of these Terms
- Your violation of any rights of a third party
- Any content or data you provide to us
Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:
- Your right to use our services will immediately cease
- We will provide reasonable assistance in transitioning services (subject to payment)
- Provisions that by their nature should survive termination will survive
- Any outstanding invoices become immediately due and payable
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Broward County, Florida, unless both parties agree to an alternative resolution method.
Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
Entire Agreement
These Terms, together with any applicable service agreements, constitute the entire agreement between you and Autonimate regarding your use of our services and supersede all prior agreements and understandings, whether written or oral.
